End-User License Agreement.

VarStan Advisors integrations. Effective October 2, 2026.

1. Agreement

This End-User License Agreement ("Agreement") is between VarStan Advisors ("VarStan," "we," "us") and the business that connects or uses a VarStan integration ("you"). By authorizing a VarStan integration to access your QuickBooks Online company, or by otherwise using it, you agree to this Agreement on behalf of that business.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the integration for your internal business purposes while you are a VarStan client. You may not copy, resell, sublicense, reverse engineer, or modify the integration, or use it to build a competing product.

3. Authorization

You confirm that the person who connects the integration is an administrator of your QuickBooks Online company and is authorized to grant access on your behalf. You authorize VarStan to access, read, create, and update the QuickBooks data the integration needs, as described in our Privacy Policy.

4. Your responsibilities

• Keep your QuickBooks Online subscription, user access, and connected systems active and in good standing.
• Make sure the data in your source systems (such as orders, products, prices, and customer details) is accurate.
• Review synced transactions as part of your normal close. An integration automates data entry; it does not replace review.
• Tell us promptly about errors, changes to your systems, or changes to settings that affect the integration, such as closing dates or renamed accounts.

5. Intuit and third parties

QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the integration. Your use of QuickBooks Online remains subject to Intuit's own terms. Integrations may also depend on other third-party platforms you use, which are governed by their own terms.

6. Fees and professional services

Fees for integrations, and any bookkeeping, tax, or advisory services, are set out in your engagement letter with VarStan. Professional advice is provided only under that engagement letter, not through the integration itself.

7. Disclaimer

The integration is provided "as is" and "as available." To the extent permitted by law, VarStan disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the integration will be uninterrupted or error-free, or that third-party services it relies on will remain available.

8. Limitation of liability

To the extent permitted by law, VarStan will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from the integration. VarStan's total liability arising from the integration will not exceed the fees you paid VarStan specifically for the integration in the twelve months before the claim arose.

9. Term and termination

This Agreement lasts while the integration is connected. You may end it at any time by disconnecting the integration in QuickBooks Online or by notifying us. We may suspend or end access if the engagement ends, if this Agreement is breached, or if continued access poses a security risk. Sections 5, 7, 8, and 10 survive termination.

10. Governing law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Norfolk County, Massachusetts.

11. Changes

We may update this Agreement from time to time. The effective date at the top shows when it last changed. Continuing to use the integration after a change means you accept the updated Agreement.
