Acceptance

These Terms of Service ("Terms") govern your access to and use of the services provided by VarStan Bookkeeping Inc. ("VarStan," "we," "us," or "our"). By engaging VarStan or using our services, you agree to these Terms. If you do not agree, please do not use our services. These Terms may be supplemented by a separate engagement letter or service agreement, which will control in the event of any conflict.

Services Description

VarStan provides US bookkeeping, tax, and advisory services, which may include transaction recording, account reconciliation, financial reporting, year-end preparation and 1099 issuance, tax preparation support, and related advisory work. The specific scope of services is defined in your engagement and may be adjusted by mutual agreement.

Client Responsibilities

The quality and timeliness of our work depend on the information you provide. You agree to:

• Provide complete, accurate, and timely information, documents, and records;
• Respond promptly to our requests for clarification or additional materials;
• Review the deliverables we provide and notify us of any errors or omissions; and
• Maintain ultimate responsibility for the accuracy of the underlying data and for decisions made based on our work.

Fees & Billing

Our services are generally provided for a fixed monthly fee as set out in your engagement. Fees are billed in advance unless otherwise agreed and are due upon receipt. Services outside the agreed scope may be subject to additional fees, which we will discuss with you before proceeding. We reserve the right to suspend services for accounts that are past due.

Confidentiality

We treat your information as confidential and will not disclose it except as necessary to perform our services, as authorized by you, or as required by law or professional standards. We expect the same care with respect to any confidential information we share with you. Our handling of personal and financial information is further described in our Privacy Policy.

Limitation of Liability

To the fullest extent permitted by law, VarStan's total liability arising out of or relating to the services shall not exceed the fees paid by you to VarStan for the services giving rise to the claim during the twelve (12) months preceding the event. VarStan shall not be liable for indirect, incidental, consequential, special, or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

No Guarantee of Tax Outcomes

While we apply professional care and current knowledge to our work, we do not and cannot guarantee any particular tax result, refund, savings, or outcome. Tax laws and their interpretation change and may be applied differently by taxing authorities. Final responsibility for filings rests with you, and you should review all filings before they are submitted.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. The state and federal courts located in Massachusetts shall have jurisdiction over any disputes arising under these Terms.

Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
